  • Section 29 of the Companies Ordinance provides that any company which does not contain in its articles of association the following 3 restrictions is a public company:-

    1.Restriction to the right to transfer its shares;

    2.Limits the number of its numbers to 50, not including persons who are in the employment of the company and persons who, having been formerly in the employment of the company, were while in that employment, and have continued after the determination of that employment to be, members of the company; and

    3.Prohibits any invitation to the public to subscribe for any shares or debentures of the company.

    A company ceased to be a private company is subject to more stringent restrictions imposed by the Companies Ordinance.
