A place of business in Hong Kong which is established by a foreign company (i.e. a company incorporated outside of Hong Kong) must register as an oversea company under Part XI of the Companies Ordinance (Cap. 32), within 1 month after establishment.
Procedure for Setting up a Branch Office
The oversea company must apply for registration within 1 month of establishing a place of business in Hong Kong. It is advisable to apply before business commences.
1.Submit the following documents to the Companies Registry:-
ⓐ A certified copy of the Memorandum and Articles of Association (or charter or statutes) of the company
ⓑ A completed Form N1 which includes particulars of the company’s directors, secretary and company’s authorized representative in Hong Kong, the principal place of business in Hong Kong and the place of incorporation
ⓒ A certified copy of the company’s certificate of incorporation (or equivalent)
ⓓ A certified copy of the latest accounts of the company
ⓔ A prescribed fee of HK$1,720.00 and a registration fee of HK$20.00 for each document. If the application is unsuccessful, the registration fee of HK$1,425.00 and the registration fee for each document may be refunded The Companies Registry will process the documents and issue a Certificate of Registration in 14 working days
